Constituent documents of the Finnish company

Constituent documents, founding documents or formation documents are a package of papers on the basis of which an enterprise or organization conducts its business. The articles of incorporation and the memorandum of association may serve as constituent documents. There are some specific requirements to the content of the establishment / formation documents. The type of constituent documents depends upon the company form.

To register an enterprise, it is necessary to submit all needed establishment documents to the state registration authorities. All necessary information concerning company establishment in Finland can be found at Finnish Patent and Registration Office website and Business Information System website.

Company registration in Finland:

  • The company has to be registered in the Finnish Trade Register, where all the necessary documents related to starting a business must be sent.
  • Then the company receives business ID (Business ID / Y-tunnus), which identifies an enterprise.
  • After receiving a Business ID, company can start business activity.

Start-up notification forms with instructions for filling. Start-up notifications for the different forms of the business:

Note: Start-up notification for a Private trader, Limited liability company, Housing company or Mutual real estate limited company is possible to fill online, other types of businesses (for example, Co-operative, Association, General or Limited partnership) can submit notification using only a paper form. Online filing is only available in Finnish and in Swedish, whereas the paper forms of start-up notifications are available also in English. Online notifications, as a rule, are cheaper than paper notifications.
